Terms & Conditions

Introduction

Thank you for choosing UNIVERSAL TRANSIT for your vehicle’s transport and technology solutions. By utilizing our comprehensive services, both vehicle transportation and technology platform, you, and the entity you represent hereby accept all of the terms and conditions of service (“TERMS”) stated herein. In the event of any discrepancy between these TERMS and those in any other document, including a motor carrier bill of lading, tariff, service guide, or any other related documents, these TERMS will take precedence and govern as between you and UNIVERSAL TRANSIT. These TERMS are exclusive to UNIVERSAL TRANSIT and cannot be altered or modified by any party other than UNIVERSAL TRANSIT. 

THESE TERMS CONTAIN SPECIFIC PROVISIONS THAT DICTATE HOW CLAIMS YOU AND UNIVERSAL TRANSIT MAY HAVE AGAINST EACH OTHER ARE ADDRESSED. THESE PROVISIONS, WITH FEW EXCEPTIONS, MANDATE THAT YOU SUBMIT ANY CLAIMS YOU HAVE AGAINST UNIVERSAL TRANSIT TO BINDING AND FINAL ARBITRATION ON AN INDIVIDUAL BASIS, RATHER THAN AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, GROUP, OR REPRESENTATIVE LEGAL ACTION OR PROCEEDING. WE ENCOURAGE YOU TO CAREFULLY REVIEW SECTION 12 FOR DETAILED INFORMATION REGARDING YOUR AGREEMENT TO ARBITRATE ANY DISPUTES WITH UNIVERSAL TRANSIT.

1. Definitions:

  • "UNIVERSAL TRANSIT" or "We/Us/Our": Refers to UNIVERSAL TRANSIT, its affiliates, subsidiaries, employees, directors, and agents.
  • "Customer" or "You/Your": Refers to the individual, company, or entity that accesses or uses our Services, including vehicle transportation and technology platform.
  • "Services": Encompasses all offerings provided by UNIVERSAL TRANSIT, including but not limited to vehicle transportation, technology solutions, software, platforms, tools, and other related content.
  • "Carrier": Refers to the third-party transportation companies that physically transport vehicles on behalf of UNIVERSAL TRANSIT.
  • "Platform": Refers to the technology solutions, software, and tools provided by UNIVERSAL TRANSIT to facilitate vehicle transportation and related services.
  • "Order": Refers to the formal request or booking made by the Customer to utilize the Services offered by UNIVERSAL TRANSIT.
  • "Shipment": Refers to the vehicle or set of vehicles that are to be transported as per the Order.
  • "Bill of Lading": Refers to the document issued by the Carrier to the Customer, detailing the type, quantity, and destination of the goods being carried.
  • "Tariff": Refers to the published list of fares and charges related to the transportation services offered by the Carrier.
  • "Arbitration": Refers to the process of resolving disputes outside the courts, where both parties agree to abide by the decision of an arbitrator.

2. Acceptance of Terms

  • Acknowledgment: By accessing, registering for, or using the services provided by UNIVERSAL TRANSIT, including any software, platforms, tools, or other content therein (collectively referred to as the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions and any future amendments or modifications.
  • Representation: If you're accessing or using our Services on behalf of a company, organization, or other legal entity (collectively referred to as "Entity"), you represent and warrant that you have the authority to bind that Entity to these terms. In such a case, "you" and "your" will refer to both the individual user and the Entity.
  • Continuous Agreement: Your use of the Services signifies your continuous agreement to these Terms & Conditions. If you do not agree with any part of these Terms & Conditions, you must discontinue using the Services immediately.
  • Updates & Modifications: UNIVERSAL TRANSIT reserves the right to modify, amend, or update these Terms & Conditions at any time. It is your responsibility to review these Terms & Conditions periodically. Your continued use of the Services after such modifications will constitute acknowledgment of the modified Terms & Conditions and agreement to abide and be bound by the modified terms.
  • Electronic Acceptance: Your electronic acceptance of these Terms & Conditions, whether by clicking on an acceptance button, executing an order form, or using the Services, has the same effect as if you had physically signed an agreement and constitutes a binding contract between you and UNIVERSAL TRANSIT.

3. Service Description

  • Comprehensive Offerings: UNIVERSAL TRANSIT provides a holistic suite of services that cater to both vehicle transportation and technology solutions for shippers, carriers, and drivers. Our aim is to offer a seamless, efficient, and integrated experience for all transportation and logistical needs.
  • Vehicle Transportation: As part of our vehicle transportation services, we connect customers with a network of third-party carriers to facilitate the physical transport of vehicles across various destinations. We act as a bridge, ensuring that customers receive reliable and timely transportation services.
  • Technology Platform: Our technology platform is designed to streamline and optimize the transportation process. It offers tools for real-time tracking, electronic documentation, instant quotes, and AI-driven analytics. This platform serves as a hub for shippers, carriers, and drivers to interact, manage orders, and ensure smooth operations.
  • Brokerage Role: UNIVERSAL TRANSIT operates primarily as a broker in the vehicle transportation segment. This means we do not own or operate transportation vehicles but instead connect customers with third-party carriers who undertake the actual transportation.
  • Continuous Innovation: We are committed to continuous innovation. Our team consistently works on enhancing our platform's features, ensuring that we stay at the forefront of technological advancements in the transportation industry.
  • Support & Assistance: In addition to our primary services, we offer support and assistance to all our users. Whether it's understanding the platform's features, tracking a shipment, or resolving disputes, our dedicated team is always ready to assist.
  • Integration with Third Parties: Our platform may integrate with third-party services or tools to enhance user experience and provide additional functionalities. While we ensure the reliability of these integrations, the terms and conditions of these third-party services are separate and may differ from ours.

4. License Grant & Restrictions

  • Grant of License: UNIVERSAL TRANSIT grants you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services, including our technology platform, tools, and any related software, solely for your personal or business purposes, in accordance with these Terms & Conditions.
  • Restrictions: You are expressly prohibited from:
  • a. Modifying, translating, reverse engineering, decompiling, or disassembling any part of our Services or attempting to derive the source code of our platform.
  • b. Using our Services for any purpose that is illegal or prohibited by these terms.
  • c. Renting, leasing, loaning, selling, or sublicensing our Services to third parties.
  • d. Using our Services in any manner that could damage, disable, overburden, or impair our servers or networks.
  • e. Using bots, scrapers, or other automated methods to access or collect data from our Services.
  • f. Copying, framing, or mirroring any part of our Services without our prior written authorization.
  • Intellectual Property: All rights, titles, and interests in and to our Services, including any software, tools, graphics, texts, and any related intellectual property rights, belong solely to UNIVERSAL TRANSIT. Except for the limited license granted to you, we reserve all other rights, titles, and interests.
  • Updates & Modifications: UNIVERSAL TRANSIT may from time to time provide updates or modifications to our Services. These updates may include upgrades, bug fixes, patches, or new features. You agree that we have the right to deploy such updates at any time, with or without notice, and without liability to you.
  • Feedback: If you provide feedback, comments, or suggestions for improvements to our Services ("Feedback"), you grant UNIVERSAL TRANSIT a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate any Feedback.

5. User Responsibilities

  • Account Accuracy: Users are responsible for providing accurate and up-to-date information when registering for an account or using our Services. Any discrepancies or false information can lead to delays, additional charges, or termination of services.
  • Confidentiality: Users must maintain the confidentiality of their account credentials. You are responsible for all activities that occur under your account, whether authorized by you or not. If you suspect any unauthorized use of your account, you must notify UNIVERSAL TRANSIT immediately.
  • Compliance with Laws: Users must use our Services in compliance with all applicable local, state, national, and international laws, regulations, and treaties. This includes, but is not limited to, regulations governing transport, data protection, and privacy.
  • Proper Use: Users must not misuse our Services by intentionally introducing viruses, trojans, worms, or other malicious or technologically harmful material. You must not attempt to gain unauthorized access to our Services, the server on which our platform is stored, or any server, computer, or database connected to our Services.
  • Payment Obligations: Users are responsible for timely payments for any services availed. Failure to meet payment obligations may result in suspension or termination of services.
  • Vehicle Preparation: If using our vehicle transportation services, users are responsible for preparing their vehicle for transport. This includes removing personal items, ensuring the vehicle is in operable condition (unless otherwise stated), and notifying UNIVERSAL TRANSIT of any special considerations.
  • Respectful Interaction: Users must interact respectfully with UNIVERSAL TRANSIT staff, carriers, and other users. Any form of harassment, abuse, or inappropriate behavior can lead to termination of services.
  • Feedback & Communication: Users are encouraged to provide feedback on our Services. However, feedback should be constructive, honest, and respectful.
  • Updates & Notifications: Users are responsible for regularly checking updates or notifications related to our Services. This ensures you stay informed about any changes, updates, or important announcements.

6. Payment

  • Fees and Charges: All services rendered by UNIVERSAL TRANSIT are subject to fees as described during the service booking process or as outlined in our pricing documentation. Users are responsible for understanding and agreeing to these fees before availing of our services.
  • Payment Methods: UNIVERSAL TRANSIT accepts various payment methods, including credit cards, debit cards, bank transfers, and other approved electronic payment methods. Users must ensure that they provide valid payment information and have sufficient funds or credit available to cover the service fees.
  • Invoices: Upon completion of services or as agreed upon, UNIVERSAL TRANSIT will issue an invoice to the user. All invoices are due upon receipt unless otherwise specified.
  • Late Payments: Payments not received by the due date will incur a late fee. Continued failure to meet payment obligations may result in suspension or termination of services and may affect the user's credit score.
  • Refunds: Refunds, if applicable, will be processed based on the terms specified during the service booking or as outlined in our refund policy. Users must submit refund requests within a specified period, and all refunds are subject to approval by UNIVERSAL TRANSIT.
  • Disputes: Any disputes related to payments must be reported to UNIVERSAL TRANSIT within a specified period from the invoice date. While we strive to resolve disputes promptly, certain issues may require additional investigation and time.
  • Taxes: Users are responsible for any taxes, levies, or duties imposed by taxing authorities related to the services availed. Where required by law, UNIVERSAL TRANSIT will collect taxes on behalf of the taxing authority and remit those taxes to the appropriate government agency.
  • Additional Charges: Certain services or circumstances may incur additional charges. This includes, but is not limited to, special vehicle handling, expedited services, or changes to the service scope after booking. Users will be informed of any additional charges before they are applied.
  • Price Changes: UNIVERSAL TRANSIT reserves the right to modify its pricing for services at any time. Any price changes will be communicated to users in advance, and continued use of our services post the price change indicates acceptance of the new fees.

7. Intellectual Property

  • Ownership: All content, designs, graphics, logos, software, tools, and any other materials provided by UNIVERSAL TRANSIT, including the technology platform and its functionalities, are the exclusive property of UNIVERSAL TRANSIT or its licensors. These materials are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
  • Protection: Unauthorized use, reproduction, distribution, modification, or any other exploitation of our intellectual property, whether in whole or in part, is strictly prohibited without our prior written consent.
  • Trademarks: The UNIVERSAL TRANSIT name, logo, and any related names, design marks, product names, feature names, and slogans are trademarks of UNIVERSAL TRANSIT or its affiliates. You may not use such marks without UNIVERSAL TRANSIT's prior written permission.
  • License Limitations: While UNIVERSAL TRANSIT grants you a license to use its Services, this does not imply any transfer of ownership or rights to our intellectual property. You acknowledge that all rights, titles, and interests in and to our Services will remain with UNIVERSAL TRANSIT.
  • Feedback & Suggestions: If you provide any feedback, suggestions, or recommendations regarding our Services ("Feedback"), you grant UNIVERSAL TRANSIT a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and incorporate such Feedback into our Services, without any obligation to compensate you.
  • Third-Party Intellectual Property: Our Services may integrate or offer third-party tools or functionalities. The intellectual property rights of these third-party tools remain with their respective owners. Using our Services does not grant you any rights to third-party intellectual property.
  • Infringement Notices: If you believe that any content on our platform infringes upon your intellectual property rights, please contact us immediately with detailed information about the alleged infringement. We take such matters seriously and will investigate and address valid concerns promptly.

8. Third-Party Services

  • Integration: UNIVERSAL TRANSIT's platform and services may integrate with or offer tools, functionalities, and services provided by third parties. These integrations are designed to enhance the user experience and provide additional value to our customers.
  • No Endorsement: The inclusion or integration of third-party services does not imply an endorsement, sponsorship, or recommendation by UNIVERSAL TRANSIT. We provide these integrations for convenience and do not control or assume responsibility for third-party content, services, or products.
  • User Responsibility: Users are responsible for reviewing and understanding the terms and conditions, privacy policies, and any other relevant documentation of third-party services they choose to use or access. Any interactions or transactions with third parties are solely between the user and the third party.
  • Data Sharing: Some third-party integrations may require sharing data or information from your UNIVERSAL TRANSIT account. By enabling these integrations, you consent to the transfer of such data. Always ensure you trust the third-party service before enabling such integrations.
  • Liability Limitation: UNIVERSAL TRANSIT is not liable for any damages, losses, or issues arising from the use or reliance on third-party services, content, or products. Users should exercise caution and conduct their own due diligence when deciding to use third-party offerings.
  • Service Disruptions: While we strive to ensure seamless integration, third-party services may occasionally experience disruptions, changes, or discontinuations that can affect their functionality within our platform. UNIVERSAL TRANSIT is not responsible for any such disruptions and cannot guarantee the continuous availability of third-party integrations.
  • Feedback & Concerns: If you have feedback or concerns related to third-party services integrated with our platform, we encourage you to communicate directly with the respective third-party provider. However, you can also share your feedback with us, and we will do our best to address any integration-related issues.

9. Data & Privacy

  • Data Collection: UNIVERSAL TRANSIT collects and processes user data to facilitate the provision of our services, improve user experience, and ensure the security of our platform. This data may include personal information, transaction details, usage patterns, and other relevant data points.
  • Consent: By using our services, you consent to the collection, storage, and processing of your data as described in these Terms & Conditions and our Privacy Policy.
  • Privacy Policy: Our Privacy Policy provides detailed information about how we handle and protect your personal data. We encourage users to review our Privacy Policy to understand our practices related to data privacy.
  • Data Protection: UNIVERSAL TRANSIT employs robust security measures to protect user data from unauthorized access, alteration, disclosure, or destruction. We continuously update our security practices to address emerging threats and ensure data integrity.
  • Third-Party Sharing: We value your privacy and do not share your personal data with unaffiliated third parties without your explicit consent, except where necessary to provide our services, comply with legal obligations, or protect our rights.
  • User Access: Users have the right to access, modify, or delete their personal data stored on our platform. If you wish to exercise these rights or have concerns about your data, please contact our support team.
  • Cookies & Tracking: UNIVERSAL TRANSIT may use cookies, beacons, and similar tracking technologies to gather information about user behavior and preferences. This helps us optimize our platform and offer personalized experiences. Users can manage or opt-out of cookies through their browser settings.
  • Data Retention: We retain user data for as long as necessary to fulfill the purposes for which it was collected, comply with legal obligations, resolve disputes, and enforce our agreements.
  • International Transfers: UNIVERSAL TRANSIT may process data in multiple jurisdictions. By using our services, you consent to the transfer and processing of your data in countries other than your country of residence, which may have different data protection laws.

10. Limitation of Liability

  • General Limitation: To the maximum extent permitted by applicable law, UNIVERSAL TRANSIT, its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from our platform; (iv) any bugs, viruses, trojan horses, or the like which may be transmitted to or through our services by any third party; and/or (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, transmitted, or otherwise made available through the services.
  • Cap on Liability: UNIVERSAL TRANSIT's total liability to you for all claims, in the aggregate, will not exceed the amount actually paid by you to UNIVERSAL TRANSIT over the 12 months preceding the claim or $1,000, whichever is greater.
  • Specific Services: If you have a dispute with one or more users, or with any third-party service integrated into UNIVERSAL TRANSIT's platform, you release us from claims, demands, and damages, known and unknown, arising out of or in any way connected with such disputes.
  • Disclaimer: UNIVERSAL TRANSIT provides its services on an "as is" and "as available" basis, and to the extent permitted by applicable law, makes no representations or warranties of any kind, express or implied, regarding the services or any content provided therein.
  • Indemnification: You agree to defend, indemnify, and hold harmless UNIVERSAL TRANSIT, its parent corporation, officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from your use of and access to the services, or any violation of these Terms & Conditions.
  • Time Limitation: You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of our services or these Terms & Conditions must be filed within one (1) year after such claim or cause of action arose or be forever barred.

11. Dispute Resolution

  • Good Faith Efforts: Before initiating any formal dispute resolution proceedings, both parties agree to attempt to negotiate any dispute, claim, or controversy arising out of or relating to these Terms & Conditions informally for at least thirty (30) days. Negotiations will begin upon written notice from one party to the other.
  • Binding Arbitration: If the parties fail to resolve a dispute through informal negotiations, both parties agree to resolve any claim, dispute, or controversy (excluding claims for injunctive or other equitable relief) arising out of or in connection with these Terms & Conditions through final and binding arbitration. The location of the arbitration, the rules governing the proceedings, and the party responsible for paying any fees will be as set forth in the "Arbitration" section of these Terms & Conditions.
  • No Class Actions: You agree that any claims brought by you will be brought in your individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.
  • Governing Law: These Terms & Conditions and any dispute arising out of or related to them or the Services will be governed by the laws of the jurisdiction in which UNIVERSAL TRANSIT is headquartered, without regard to its conflict of laws principles.
  • Venue: Unless both parties agree otherwise, the arbitration will be conducted in the city where UNIVERSAL TRANSIT is headquartered. Both parties agree to submit to the personal jurisdiction of a state court located in that city or a federal court located within that jurisdiction for the purpose of compelling arbitration, staying proceedings pending arbitration, or confirming, modifying, vacating, or entering judgment on the award entered by the arbitrator.
  • Opt-Out: If you do not wish to be bound by the arbitration and class-action waiver provisions in this Dispute Resolution section, you must notify UNIVERSAL TRANSIT in writing within thirty (30) days of the date you first accept these Terms & Conditions, unless the law requires a longer period. Your written notification must be mailed to UNIVERSAL TRANSIT's address as set forth in the "Contact" section of these Terms & Conditions.

12. Termination

  • By UNIVERSAL TRANSIT: We reserve the right to suspend or terminate your access to our Services, without notice, for conduct that we believe violates these Terms & Conditions or is harmful to other users, us, third parties, or for any other reason at our sole discretion. Upon termination, all rights and licenses granted to you in these Terms & Conditions will immediately cease.
  • By User: You may terminate your account and stop using our Services at any time. To do so, please contact our support team with your request. Upon termination, you must cease all use of our Services.
  • Outstanding Payments: Termination of your account does not relieve you of any outstanding payments owed to UNIVERSAL TRANSIT. All outstanding invoices will become immediately due and payable upon termination.
  • Data Retention: Upon termination, UNIVERSAL TRANSIT may retain your data for a period of time consistent with applicable laws and regulations. After this period, your data will be deleted or anonymized.
  • Survival: Provisions of these Terms & Conditions that, by their nature, should survive termination of your use of the Services shall survive termination. This includes, but is not limited to, intellectual property provisions, warranty disclaimers, indemnity, limitations of liability, and dispute resolution.
  • Post-Termination Conduct: Even after your rights under these Terms & Conditions are terminated, you will remain bound by all obligations under these Terms & Conditions, including, without limitation, any indemnifications, warranties, and limitations of liability.
  • Reactivation: If you wish to reactivate your account after termination, you may do so if your account is in good standing. However, some data or settings may not be restored, and you may need to set up your account again.

13. Changes to Terms

  • Right to Modify: UNIVERSAL TRANSIT reserves the right to modify, amend, or update these Terms & Conditions at any time. Such changes will be effective upon posting the revised terms on our platform or other means of communication as deemed appropriate by us.
  • Notification: We will make reasonable efforts to notify users of any significant changes to these Terms & Conditions. This may include notifications through our platform, email, or other communication channels. However, it remains the user's responsibility to review these Terms & Conditions periodically to stay informed about any updates.
  • Acceptance: Your continued use of our Services after such modifications have been made will constitute your acknowledgment of the modified Terms & Conditions and your agreement to abide by and be bound by the modified terms.
  • Material Changes: In the event of material changes to these Terms & Conditions that may adversely affect users, we will provide more prominent notice or seek your explicit consent, as required by law.
  • Archived Versions: For your convenience, we will archive previous versions of these Terms & Conditions, which can be accessed upon request. This ensures transparency and allows users to review changes over time.
  • Disagreement: If you disagree with any changes made to these Terms & Conditions, you must discontinue using our Services immediately. If you continue to use our Services after the date the change becomes effective, you agree to be bound by the revised terms.

14. Governing Law

  • Jurisdiction: These Terms & Conditions and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the jurisdiction in which UNIVERSAL TRANSIT is headquartered, without regard to its conflict of laws principles.
  • Exclusive Venue: Both parties agree that the courts located within the jurisdiction where UNIVERSAL TRANSIT is headquartered will have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms & Conditions or their subject matter or formation (including non-contractual disputes or claims).
  • Waiver of Jury Trial: Both parties hereby waive any right to a jury trial in any proceeding arising out of or related to these Terms & Conditions. This waiver will not affect either party's rights to seek and obtain injunctive or other equitable relief in any court of competent jurisdiction.
  • International Users: UNIVERSAL TRANSIT's Services are controlled and operated from its headquarters, and we make no representations that they are appropriate or available for use in other locations. If you access or use our Services from outside our jurisdiction, you are responsible for compliance with local laws and regulations.
  • Enforceability: If any provision of these Terms & Conditions is found by a court of competent jurisdiction to be invalid or unenforceable, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms & Conditions remain in full force and effect.

15. Feedback & Communication

  • Encouragement of Feedback: UNIVERSAL TRANSIT values the insights and opinions of its users. We encourage you to provide feedback, suggestions, or reviews about our Services to help us improve and better cater to your needs.
  • Use of Feedback: Any feedback, comments, or suggestions you provide regarding UNIVERSAL TRANSIT, or our Services is entirely voluntary. By submitting feedback, you grant us a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, transferable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such feedback without any compensation to you.
  • Communication Channels: Users can communicate with UNIVERSAL TRANSIT through various channels provided on our platform, including but not limited to, email, chat support, phone, and social media platforms.
  • Official Notices: For matters that require official communication or notices, such as legal or contractual matters, users should use the designated communication methods specified in these Terms & Conditions or as directed by UNIVERSAL TRANSIT.
  • Response Time: While we strive to respond to all queries, feedback, or concerns promptly, there may be times when responses are delayed due to high volume or other reasons. We appreciate your patience and understanding in such instances.
  • Respectful Interaction: All communications with UNIVERSAL TRANSIT's staff, representatives, or other users should be conducted in a respectful and professional manner. Harassment, abusive language, or any inappropriate behavior will not be tolerated and may result in account suspension or termination.
  • Electronic Communication: By using our Services, you consent to receive electronic communications from us. These communications may include notices about your account, responses to inquiries, and other transactional or service-related information.
